SEC Form 3 explained — initial statement of ownership
A Form 3 is the initial statement of beneficial ownership. An insider files it once — when they first become subject to Section 16 — to disclose everything they already own.
When it is filed
Within 10 calendar days of becoming a director, officer, or greater-than-10% owner. Unlike a Form 4, a Form 3 reports holdings, not transactions — it is the starting point against which later Form 4s are measured.
What triggers a Form 3
- A company completing its IPO or otherwise registering a class of equity (every insider files one).
- A person joining as a director or officer.
- An investor crossing the 10% beneficial-ownership threshold.
Direct vs indirect ownership
A Form 3 lists both shares held directly and shares held indirectly — through trusts, investment funds, or family members. Indirect holdings are why a single human can show up alongside several fund entities, and why "ownership" is broader than shares in a personal brokerage account.
How SEC Notifier uses it
Form 3 holdings establish an insider’s baseline position, so subsequent buys and sells can be read in context. A Form 3 carries no transaction codes — it is a snapshot, not a trade.
